TERMS AND CONDITIONS

PLEASE READ CAREFULLY. By enrolling in the Samsung Rewards Program, you agree to the following terms and conditions that govern the Samsung Rewards Program.
A. Overview of Samsung Rewards Program
This Samsung Rewards Program (the "Program") is a loyalty program provided by Samsung Electronics Canada Inc. (“Samsung”) through which eligible individuals who have a valid Samsung Account ID, may earn points (“Point(s)”) that will be credited to the Samsung Rewards Account (“Rewards Account") of the eligible Participant (defined below) as set forth herein. Where applicable, Participants may redeem their Points through Samsung.com/ca, the Samsung Shop app (the “Samsung Shop App”), and such other services and apps authorized by Samsung from time to time (collectively, the “Eligible Services”), as described in these Terms and Conditions. References in these Terms and Conditions to the Samsung Shop App specifically exclude the Education EPP Shop App. The Program is not available on the Education EPP Shop App and Enhanced Partnership Program.
B. Eligibility and Participation in the Program
1. Eligibility: The Program is open to legal residents of Canada who are at least thirteen (13) years of age or older and have a valid Samsung Account ID from Samsung.com (“Participant(s)”). AN ELIGIBLE MINOR MUST HAVE THEIR PARENT’S OR LEGAL GUARDIAN’S PERMISSION TO PARTICIPATE. If you are a parent or legal guardian permitting a person under the age of 18 ("Minor") to use the Program, you agree to: (i) supervise the Minor's use of the Program; (ii) assume all risks and liability associated with or resulting from the Minor’s use of the Program; (iii) ensure the accuracy and truthfulness of all information submitted by the Minor; and (iv) assume responsibility and be bound by these Terms and Conditions for the Minor’s access and use of the Program. The Program is not open to corporations, organization, or anyone other than an individual, unless expressly permitted in writing by Samsung. Samsung Accounts are free to create and maintain, but are subject to the Samsung Account terms and conditions (available at https://account.samsung.com/membership/terms) as updated from time to time and form an integral part of these Terms and Conditions. If you are admitted to the Program through another program such as employment purchase program, you must abide by terms and conditions of that program. In case of any inconsistency or conflict between these Terms and Conditions and the Samsung Account terms and conditions or other program terms under which you are eligible to participate in the Program, these Terms and Conditions shall prevail. If you do not have a Samsung Account, visit www.samsung.com/ca and follow the links and instructions to create a Samsung Account. NOTE: Your Samsung Account profile must include your first and last name and email address. If your Samsung Account does not meet this requirement, you may be suspended from the Program.
2. Registration: To enroll in this Program and thereby create a Program account (“Rewards Account”), the Participant is required to register a Samsung Account online (www.samsung.com/ca) and agree to these Terms and Conditions. Participants who are existing Samsung Account holders are required to register online through their Samsung Account with the email address associated with their Samsung Account and agree to these Terms and Conditions. Continued participation in the Program constitutes each Participant's continued full and unconditional agreement to these Terms and Conditions and representation that the Participant meets the eligibility requirements set out in these Terms and Conditions. Participants who do not comply with these Terms and Conditions may be prohibited from participating in the Program as determined by Samsung in its sole discretion. There is a limit of one (1) Rewards Account per person, regardless of whether more than one person uses the same email address for the Samsung Account. In the case of a dispute, the person who is the authorized e-mail account holder of the e-mail address for the Samsung Account (and who otherwise meets the eligibility criteria) will be deemed the Participant.
3. Privacy: Samsung may collect certain information and personal data from you in connection with the Program, and use such information and data in accordance with the Samsung Account Privacy Policy available at: https://account.samsung.com/membership/pp. The Samsung Account Privacy Policy may be updated from time to time, so please periodically review the Privacy Policy. By participating in the Program you understand and agree that Samsung will analyze your purchase history and how you interact with Samsung services to customize rewards, offers, and promotions for you.
4. Receive Notifications from Samsung: By accepting these Terms and Conditions and enrolling in the Program, the Participant hereby agrees to receive email and/or SMS messaging to the email address and/or phone number, as applicable, associated with their Samsung Account as set forth in Samsung’s Privacy Policy (https://account.samsung.com/membership/pp).
C. Termination and Modification of the Program; Expiration of Points
1. Suspension or Termination of Program – Participants Residing Outside of Quebec: The Program will continue until Samsung announces its suspension or termination. Except for Quebec residents, Samsung shall be under no obligation to provide any notice of its suspension or termination, unless required by law. If Samsung provides you with any notice of suspension or termination, it will do so by posting on Samsung.com/ca, or by sending Participants written notice by email or through mail to the address in the Participant’s Samsung Account, in Samsung’s sole discretion. If a Participant closes their Samsung Account or Rewards Account, all points not redeemed will be immediately forfeited.
2. Suspension or Termination of Program – Participants Residing in Quebec: The following applies to Quebec Residents only: The Program will continue until Samsung announces its suspension or termination. Notice will be provided to the Participant between 60 and 90 days before the suspension or termination takes effect, by sending the Participant written notice by email or through mail to the address in the Participant’s Samsung Account. If a Participant closes their Samsung Account or Rewards Account, all points not redeemed will be immediately forfeited.
3. Modifications: Samsung reserves the right to amend, restrict, extend or otherwise modify any aspect, term, or condition of these Terms and Conditions and the Program, including changes to the procedure or rate of earning or redeeming Points. Notice of the modification will be provided to Participants between 60 and 90 days before the change takes effect, by posting the updated Terms and Conditions on the website Samsung.com/ca, by sending Participants written notice by email or through mail to the address in the Participant’s Samsung Account. Such notice will set out any new and/or amended sections of the Terms and Conditions, how such sections formerly read, and the effective date of the change. Upon receipt of such notice, a Participant may choose to reject the amendment and cancel their participation in the Program, by sending Samsung notice to that effect no later than 30 days after the change comes into force, at the address or email address indicated in the notice. Any points not redeemed after Samsung has received a Participant’s notice will be forfeited and Samsung will close their Samsung Rewards Account. If a Participant does not exercise their right to cancel their participation in the Program within the aforementioned 30 days, their continued enrollment in the Program will constitute their consent to the updated Terms and Conditions.
4. Expiration of Points: Participants must remain active in the Program to retain the Points they earn by earning or redeeming Points at least once every twenty-four (24) months. If a Rewards Account is inactive for twenty-four (24) consecutive months, a Participants’ Points will expire and the Participant is deemed to have forfeited such expired Points. Once Points are expired, they cannot be reinstated, although a Participant may earn new Points, unless their Rewards Account has been deactivated. You will receive notification 30 to 60 days prior to such expiration. Samsung may temporarily extend the period before Points expire without notice to you. Any such extension is without prejudice to Samsung’s right to reinstate the expiration period; however, you will receive notification 30 to 60 days prior to the expiration of your Points.
D. Earning Points
1. Samsung will offer Points through the purchase of qualifying products (“Qualifying Product”) through Samsung’s online store at Samsung.com/ca, the Samsung Shop App, and such other service and apps authorized by Samsung from time to time. A Participant will earn Points as follows:
(a) The Participant must be logged into their Samsung Account during purchase check out.
(b) The Participant will receive Points based upon the Final Purchase Price paid at check out (whether paid-in-full or approved for Samsung or other financing) on Qualifying Product. The “Final Purchase Price” means the purchase price of the Qualifying Product less any discounts (including use of Points for such purchase), value of free gifts, coupons, promo codes and gift certificates redeemed and does not include taxes, shipping, eco fees, other fees, if any, or other products or services that we may specify from time to time. The number of Points that will be earned will be displayed after check out.
(c) Points will be credited to the Participant’s Rewards Account once the applicable return period has lapsed on the Qualifying Product or, where applicable, after chargebacks are complete, whichever is later.
(d) If a Participant is not logged into their Samsung Account during the purchase process, that Participant forfeits the ability to request Points in respect of that purchase at a later time. Samsung may in its sole discretion credit Points where a Participant was not logged into their Samsung Account at the time of purchase based on a case-by-case assessment.
2. If a Qualifying Purchase is returned for any reason after Points have been credited, Samsung will deduct the corresponding amount of Points from the Participant’s Rewards Account.
3. Special Offers and Benefits: Samsung may also offer Points, promotions, discounts and other special benefits (collectively “Special Offers”) through promotional offers to some or all Participants for limited time periods. These Special Offers may be communicated through various means, including but not limited to the Samsung Members App, email, and other Samsung Services such as Samsung.com/ca. The Special Offers will include additional details, including how to participate and other limitations or restrictions, and will be subject to additional terms and conditions and these Terms and Conditions. The Special Offers may be changed or terminated with or without notice, subject to applicable law.
E. Tier Status, Point Value and Viewing Points
1. Tier Status: Participants may be eligible to earn Points and Program benefits based on their achieved Rewards Account tier status (“Tier Status”). There are three Tier Statuses: Blue, Gold and Platinum. As set forth in the table below, a Participant’s Tier Status will be calculated based on their cumulative spend on Qualifying Products purchased within the last 24-month period. A Participant’s first 24-month period will begin from the date in which the Participant has enrolled in the Program. The cumulative spend will be calculated using the Final Purchase Price of Qualifying Products.

Participants must redeem a minimum of two (2) Points in any transaction using Points.2. Achieving a Tier Status: Participants may achieve a Tier Status by spending the required cumulative amount on Qualifying Products as set forth in the table above. During the purchase check out, participants must be logged into their Samsung Account and enrolled in the Program. A Tier Status will remain in effect as the minimum Tier Status for the following 24-month period from the date the Tier Status is assigned in accordance with the Tier Assignment Frequency set out in Section E.(3). Participants must requalify for Tier Status at the cessation of the 24-month period. A Participant’s Tier Status is based on the highest qualifying tier for which the Participant qualifies. For example: If a Participant reaches $1,350 cumulative spend on January 1, 2025, the Participant will be assigned a “Gold” Tier Status on or around February 10, 2025 and will maintain such Tier Status for the next 24 months (unless a higher Tier Status is achieved). Where a higher Tier Status is achieved during a 24-month period, a new 24-month period will commence from the date that the higher Tier Status is assigned in accordance with the Tier Assignment Frequency set out in Section E.(3). The Participant’s Tier Status at the conclusion of a 24-month period will be re-determined based on the cumulative spend in that 24-month period.
3. Tier Assignment Frequency: The Tier Status evaluation period closes on the last day of each month at 23:59.59 Eastern Time (“Monthly Evaluation Period”). If the Participant has achieved a new Tier Status by the Monthly Evaluation Period, the Participant’s Tier Status will be assigned or adjusted on or around the 10th day of the following month.
4. No Cash Value or Transferability: Points do not constitute property, do not entitle a Participant to a vested right or interest and have no cash value. As such, Points are not redeemable for cash, transferable or assignable for any reason. Accordingly, Points are not transferable (a) upon death, (b) as part of a domestic relations matter, (c) from separate Rewards Accounts held by one Participant, or (d) otherwise by operation of law. The sale or transfer of Points is strictly prohibited. Points may not be sold on any secondary market, and any transfer of Points to a secondary market shall be deemed void. Any Points remaining in a Participant’s Rewards Account if the Program is canceled will be forfeited without compensation. There shall be no carry over or transfer of Points to other Samsung programs, unless otherwise determined by Samsung in its sole and absolute discretion.
5. Accrued Points Viewable in the Participant’s Rewards Account: The number of Points collected by each Participant will be tracked in the Participant’s Rewards Account. Points will be credited to Participant’s Rewards Account after (i) transaction confirmation; (ii) the applicable return period has lapsed; and/or (iii) the applicable chargeback window has closed. However, each Participant will have the responsibility of ensuring that their Points are properly credited. Any claim for Points not credited accurately must be received by Samsung within seven (7) days of the date of claimed accrual of such Points. Manual issuance of Points can take up to sixty (60) days. Samsung shall have no liability for any printing, production, typographical, mechanical, technical or other errors in the Points summaries or Participant’s Rewards Account. Samsung reserves the right to invalidate Points from a Participant’s Rewards Account if it determines that such Points were improperly credited or obtained fraudulently. Samsung reserves the right to require proof of accrual of Points and Samsung reserves the right to delay the processing or redemption of any Points without notice to Participants to ensure compliance with these Terms and Conditions.
F. Redeeming Points Earned
1. Points may be used towards purchases of products through Eligible Services at any time once Participants have accrued and have received Points in their Samsung Rewards Account, provided that the minimum number of Points set out in Section E(1) is attained. A Participant must spend a minimum of one dollar ($1) on their purchase transaction.
2. Points may be used to partially purchase products offered within Eligible Services when the Participant is logged into their Samsung Account.
3. The number of Points available to use for the purchase and its corresponding discount to purchase will be displayed during check out.
4. Points may not be used to pay for shipping or taxes or other fees (including but not limited to eco-fees and financing fees), if any, and are not redeemable for purchase of services (including but not limited to extended warranties, Samsung Care+, installation services and haul-away services).
5. Upon completion of checkout, the Points will be deducted from the Participant’s Rewards Account. The deduction of Points is final and except as described below in Sections F(6) and F(7), Points will not be returned.
6. Where an order for a product purchased using Points is returned or cancelled, Points will be returned to the Participant upon cancellation or once Samsung accepts the return of the applicable product in accordance with the terms and conditions of return.
7. Where both cash and Points are used for a purchase or where multiple products are purchased but not all products are returned in accordance with Samsung’s terms and conditions of return, the Points returned to the Participant will be provided on a pro-rata basis, together with a refund of any cash balance of the returned purchase price where applicable.
G. Limitation of Liability
1. Samsung, and its parent, subsidiary, affiliate, and related companies, and each of its and their respective officers, directors, employees, shareholders, agents and promotional and advertising agencies, successors, assigns (collectively the “Released Parties”) are not responsible for any printing or computer error, omission, interruption, irregularity, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alteration of Program materials or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of Program information due to technical problems or traffic congestion on the internet, at any web site or any combination thereof.
2. By participating in the Program, each Participant accepts all responsibility for, and hereby releases and agrees to indemnify and hold harmless Samsung and their respective parent companies, subsidiaries, affiliates, agents, promotion and advertising agencies, and each of their respective officers, directors, employees, shareholders, and successors, assigns, and service providers from and against any claims, liabilities, damages, or expenses that may arise from actions taken by such Participant and/or Participant’s participation in the Program, or for any harm or injury caused by any third party.
3. IN NO EVENT SHALL RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE DAMAGES OR LOST PROFITS, EVEN IF ANY OR ALL OF THE FOREGOING OR ANY OF THEIR AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS MEANS THAT PARTICIPANT HEREBY WAIVES ANY AND ALL RIGHTS TO ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE DAMAGES OR LOST PROFITS FROM SAMSUNG AND ITS LICENSORS. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, SAMSUNG’S CUMULATIVE LIABILITY TO PARTICIPANT ARISING FROM ANY CAUSE OF ACTION WILL AT ALL TIMES BE LIMITED TO THE LESSER OF (A) YOUR ACTUAL DIRECT LOSS; OR (B) $100. THE FOREGOING DISCLAIMERS, EXCLUSIONS AND LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE.
H. General
1. (a) Except for residents of Quebec, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, Participant’s rights and obligations, or the rights and obligations of Samsung in connection with the Program, shall be governed by, and construed in accordance with, the laws of the Province of Ontario and the federal laws applicable therein, without giving effect to any choice of law or conflict of law rules. (b) With respect to residents of Quebec, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, Participant’s rights and obligations, or the rights and obligations of Samsung in connection with the Program, shall be governed by, and construed in accordance with, the laws of the Province of Quebec and the federal laws applicable therein.
2. Without limited any other remedies, Samsung reserves the right to suspend or terminate the eligibility of any Participant to participate in the Program and their Rewards Account if they use or are suspected of using, the Program in a manner inconsistent with these Terms and Conditions or any federal or provincial laws, statutes or ordinances, or if Samsung suspects that a Participant has engaged in fraudulent activity in connection with the Program. Participation in the Program is subject to these Terms and Conditions, as well as policies and procedures that Samsung may adopt or modify from time to time. Any failure to abide by these Terms and Conditions or any policies or procedures implemented by Samsung, any conduct detrimental to Samsung, or any misrepresentation or fraudulent activity in connection with the Program may result, in addition to any rights or remedies available to Samsung in law or equity, in the termination of participation in the Program, as well as forfeiture of Points accrued to date, all as determined by Samsung in its sole discretion. In addition to suspension or termination of the Program eligibility, Samsung shall have the right to take appropriate administrative and/or legal action, including criminal prosecution, as it deems necessary in its sole discretion.
3. Participants are responsible for maintaining the confidentiality of their Rewards Accounts and passwords and for restricting access to their devices and activity on their Rewards Account. Participant agrees to accept responsibility for all activities that occur under their Rewards Account.
4. Any attempt by any person to undermine the legitimate operation of the Program may be a violation of criminal and civil law, and, should such an attempt be made, Samsung reserves the right to seek damages from any such person to the fullest extent permitted by law. Samsung’s failure to enforce any of these Terms and Conditions shall not constitute a waiver of that, or any other, provision.
5. All questions or disputes regarding eligibility for the Program or a Participant’s compliance with these Terms and Conditions will be resolved by Samsung in its sole discretion.
6. Samsung is not responsible for any incorrect or inaccurate information supplied by Participants while participating in the Program.
7. Participants are responsible for the payment of any and all taxes which may result from participation in the Program.
8. Without limiting H(9), Samsung may provide notices to the Participant’s email address for the Samsung Account or through the Samsung Account. Participants are responsible for maintaining updated contact information associated with their Samsung Account and for checking notices in their Samsung Account. Notices will be effective when sent irrespective of whether the Participant received or reviewed the notice.
9. Samsung reserves the right to terminate, or temporarily change or suspend, the Program or any part of the Program in the event of any cause beyond Samsung’s control, including but not limited to a material error, omission, technical issue, computer virus or bug, or fraud. In the event that an Eligible Service is temporarily corrupted or suspended, notice will be provided by means determined by Samsung in its sole discretion, which may be notice in accordance with H(8) or by way of a notice posted on Samsung.com/ca. Participants may be advised (1) to not redeem Points until such time that the Program, as originally intended, may be resumed and (2) that purchases during this time period completed will not generate Points for the Participant.
10. The Program is subject to all applicable laws and regulations. Void where prohibited.
11. If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms and Conditions, which will otherwise remain in full force and effect.
